Zelty Inc. ("Zelty," "Company," "we," "us," or "our") is a corporation organized and existing under the laws of the State of Delaware, United States. These Terms of Service (the "Terms") constitute a legally binding agreement between you and Zelty governing your access to and use of the website located at https://www.zelty.ai (the "Site") and any related application, product, or service offered by Zelty (collectively, the "Service"), including any card payments processed through the Service.
By accessing the Site, creating an account, making a purchase, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must stop using the Service immediately.
1. Description of the Service
Zelty offers AI-powered support and operations agents specifically designed for Internet Service Providers (ISPs), WISPs, and telecommunications companies in Latin America. The platform includes a Technical Agent that performs remote diagnostics on fiber and radio equipment and restarts ONUs via integration with OLT; a Mass Outage Shield that detects failures in PON ports or sectors and proactively notifies affected customers via WhatsApp; an Administrative Agent that validates payment receipts and reactivates service; and a Sales Agent that verifies coverage and prepares service orders. Zelty integrates with ISP management platforms (such as ISP Cube, Wispro, and IClass), OLT systems (such as SmartOLT and Mikrotik), and WhatsApp. The Service may also allow users to purchase products, subscribe to plans, or pay for goods or services available on the Site using debit or credit cards or other supported payment methods.
Zelty reserves the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, and will not be liable to you or any third party for doing so.
2. Payments, Billing, and Refunds
2.1 Payment Processing. Card payments made through the Service are processed by Stripe, a third-party payment service provider. By submitting payment information, you authorize Zelty and its payment processor to charge the applicable amount to the selected payment method.
2.2 Pricing and Currency. All prices are stated in USD and do not include applicable taxes unless otherwise indicated. Zelty reserves the right to change its prices at any time, with changes applying to purchases made after the modification.
2.3 Billing. For recurring or subscription-based services, you authorize Zelty to charge your payment method on each applicable billing cycle until you cancel in accordance with these Terms.
2.4 Refunds and Chargebacks. All fees are non-refundable except where required by applicable law. You agree to contact Zelty at legal@zelty.ai before initiating a chargeback with your card issuer or bank.
2.5 Failed or Declined Payments. Zelty may suspend or terminate access to the Service if a payment is declined, reversed, or not processed correctly.
3. User Obligations and Conduct
By using the Service, you represent and warrant that: (a) you are at least 18 years old or of legal age in your jurisdiction; (b) all information you provide, including payment and billing data, is accurate, current, and complete; and (c) you have the legal right to use the payment method provided.
You agree not to: (i) use the Service for illegal, fraudulent, or unauthorized purposes; (ii) attempt to gain unauthorized access to the Service or its related systems; (iii) interfere with or disrupt the integrity or performance of the Service; or (iv) use the Service to process payments for products or services prohibited by applicable law or Zelty’s payment processor’s acceptable use policies.
4. Intellectual Property
All content, trademarks, logos, software, and other materials available through the Service (excluding content you provide) are owned by Zelty or its licensors and protected by applicable intellectual property laws. Nothing in these Terms grants you any rights, title, or interest in Zelty’s intellectual property except for a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose.
5. Privacy and Data Protection
The collection, use, and processing of personal data by Zelty—including data collected in connection with card payments—are described in our Privacy Policy, available at https://us.zelty.ai/privacy-policy. By using the Service, you consent to the collection and processing of your personal data as described therein.
6. Disclaimer of Warranties; Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZELTY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS OR REVENUE ARISING FROM YOUR USE OF THE SERVICE. ZELTY’S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO ZELTY IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
7. Indemnification
You agree to indemnify, defend, and hold harmless Zelty and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney fees, arising out of or related to: (a) your use or access to the Service; (b) your breach of these Terms; or (c) your violation of any third-party rights, including any payment card network rules or applicable law.
8. Termination
Zelty may suspend or terminate your access to the Service at any time, with or without cause or notice, including in cases of suspected fraud, abuse of chargebacks, or violation of these Terms. You may stop using the Service at any time. Sections of these Terms that by their nature should survive termination (including Sections 4, 6, 7, 9, and 10) will remain in effect.
9. Governing Law and Jurisdiction
These Terms, and any dispute or claim arising out of or related to them (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles.
Subject to Section 10 (Dispute Resolution) below, you and Zelty agree that any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.
10. Dispute Resolution
Before initiating any formal legal proceedings, you agree to first contact Zelty at legal@zelty.ai to attempt to resolve the dispute informally.
11. Changes to These Terms
Zelty may update or modify these Terms at any time. Material changes will be notified via the Site or email and will take effect on the posted date unless otherwise stated. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.
